Terms of Use (End User License Agreement)

1. Acceptance of Terms

By creating an account, accessing, or using the CoRegulateAI platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and CoRegulateAI ("we," "our," or "us").

2. Critical Medical Disclaimer

2.1 Emergency Situations

IF YOU ARE EXPERIENCING A MENTAL HEALTH EMERGENCY, HAVING THOUGHTS OF SUICIDE OR SELF-HARM, OR ARE IN IMMEDIATE DANGER:

• Call 911 (US) or your local emergency number immediately
• Call 988 (Suicide & Crisis Lifeline - US)
• Text HOME to 741741 (Crisis Text Line)
• Go to your nearest emergency room
• Call a trusted friend, family member, or mental health professional

DO NOT rely on this platform for crisis intervention. Our AI and content are not designed for emergency situations.

2.2 AI Limitations

Our AI wellness coach:

• Is not a licensed therapist, counselor, psychologist, psychiatrist, or medical professional
• Provides general wellness information and educational content only
• May produce responses that are inaccurate, inappropriate, or not applicable to your situation
• Cannot diagnose conditions or prescribe treatments
• Does not form a therapeutic relationship with users
• Is powered by artificial intelligence with inherent limitations and potential for errors

3. Eligibility

To use CoRegulateAI, you must:

• Be at least 18 years of age, or 13 years of age with verifiable parental/guardian consent
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Provide accurate, current, and complete registration information

4. User Responsibilities

4.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4.2 Appropriate Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Provide false information or impersonate others
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use the Service to harass, abuse, or harm others
• Share content that is defamatory, obscene, or violates others' rights
• Use automated systems to access the Service without permission
• Reverse engineer or attempt to extract source code from the Service

4.3 Health Responsibility

You acknowledge and agree that:

• You are solely responsible for your own health and wellness decisions
• You will consult with qualified healthcare professionals before making health-related decisions
• You will not use this platform as a substitute for professional medical care
• Any wellness activities you undertake based on our content are at your own risk

5. Expert Packs and Therapeutic Content

5.1 Educational Purpose

Our Expert Packs and therapeutic content are:

• Designed for educational and informational purposes only
• Based on evidence-based therapeutic approaches but are NOT therapy
• Intended to supplement, not replace, professional treatment
• Not personalized medical advice

5.2 Content Warnings

Some content may address sensitive topics including trauma, grief, depression, anxiety, and other mental health concerns. You acknowledge that:

• Engaging with such content may trigger emotional responses
• You should discontinue use if you experience distress
• You should consult a professional if content causes significant disturbance

6. Limitation of Liability

6.1 Specific Disclaimers

We are not liable for:

• Any health outcomes resulting from use of the Service
• Decisions you make based on content or AI responses
• Any harm resulting from reliance on the Service
• Actions or omissions of third-party service providers (therapists, etc.)
• Technical issues, data loss, or service interruptions
• Accuracy of AI-generated content or recommendations

7. Indemnification

You agree to indemnify, defend, and hold harmless CoRegulateAI, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit to the Service

8. Dispute Resolution

8.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@coregulate.ai. We will attempt to resolve the dispute within 30 days.

8.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

8.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class action lawsuits or class-wide arbitration.

8.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or other urgent matters.

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio, software, and the compilation thereof, are the exclusive property of CoRegulateAI or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10. Third-Party Services

10.1 Therapist Marketplace

If we offer a marketplace connecting you with third-party therapists or service providers:

• These therapists are independent contractors, not employees of CoRegulateAI
• We do not guarantee the quality, accuracy, or effectiveness of their services
• Your relationship with therapists is governed by their own terms and agreements
• Disputes with therapists should be resolved directly with them
• We are not liable for any acts or omissions of third-party providers

10.2 Payment Processing

Payment processing is handled by third-party providers (e.g., Stripe). Your use of payment services is subject to their terms and policies.

10.3 Apple App Store Subscriptions

If you purchase a subscription through the Apple App Store, the following terms apply:

• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscription automatically renews unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel your subscriptions by going to your App Store account settings after purchase
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and data in accordance with our Privacy Policy
• Provisions that by their nature should survive termination will survive

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the new Terms on our website
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoRegulateAI regarding the Service and supersede all prior agreements and understandings.
